Location: Fully remote (UK)
Commitment: Part-time, 1–2 days per week initially
Engagement: Fractional, day rate
Sector: FCA-authorised MiFID investment firm, institutional broking
Role
Exec Capital is retained to find an experienced compliance professional for a part-time, fully remote role with an established FCA-authorised investment firm. The firm serves institutional clients, has a long track record, and runs with a lean, experienced team. Its long-serving Finance Director currently holds the compliance and MLRO functions and is retiring. The firm now wants a senior practitioner to take over both functions.
The role starts at one to two days a week, working closely with the CEO. It is hands-on. You will:
- advise the business day to day
- prepare and submit regulatory returns yourself
- carry out client and counterparty KYC
- run the compliance monitoring programme
- own the financial crime framework
- manage the firm's relationship with the FCA
The successful candidate will take on the SMF16 (Compliance Oversight) and SMF17 (Money Laundering Reporting Officer) functions, subject to FCA approval. We are therefore looking for someone who has held, or is ready to hold, senior manager accountability at a MiFID firm.
This role suits a seasoned practitioner who enjoys doing the work as well as overseeing it. You should be comfortable working independently and remotely, and know how a wholesale broking business operates day to day.
- Provide practical day-to-day compliance advice to the CEO and front office on MiFID II conduct of business, client categorisation, conflicts of interest and inducements.
- Own the regulatory reporting calendar. Prepare and submit returns through RegData, including MIFIDPRU returns with finance, the controllers and close links report, and the complaints return.
- Make notifications and applications through FCA Connect, and respond to FCA supervisory requests, data requests and surveys.
- Oversee MiFIR transaction reporting: check completeness and accuracy, investigate rejections, and notify the FCA of errors where required.
- Oversee trade reporting obligations: monitor the completeness and accuracy of trade reports, investigate exceptions and reporting issues, and make sure any reporting errors are identified, rectified and escalated where required.
- Carry out KYC on new institutional clients and counterparties: verify the legal entity, identify beneficial owners, check LEIs, and screen against sanctions, PEP and adverse media lists.
- Document client categorisation, approve or escalate onboarding decisions, and run periodic KYC refreshes on a risk-based cycle.
- Liaise with counterparties on their KYC requirements and any confirmations they need.
- Liaise with the settlement agent on counterparty set-up and on AML or other regulatory queries.
- Act as MLRO: maintain the AML, counter-terrorist financing and sanctions framework and the business-wide risk assessment. Handle internal suspicious activity reports and National Crime Agency SARs, and produce the MLRO annual report.
- Oversee best execution, order handling and market abuse controls, including trade and communications surveillance and STOR submissions.
- Design and run a risk-based compliance monitoring programme, report findings to senior management and track remediation.
- Maintain the SM&CR framework: responsibilities map, statements of responsibilities, certification, fitness and propriety, and conduct rules.
- Support the annual ICARA process, keep policies and the compliance manual up to date, and deliver compliance training to staff.
- Substantial compliance experience within FCA-regulated MiFID investment firms, ideally brokers, dealers or other wholesale markets businesses.
- Hands-on experience of preparing and submitting RegData returns and FCA Connect notifications.
- Hands-on experience of institutional KYC and counterparty onboarding, including working with settlement agents.
- A strong working knowledge of MiFID II/MiFIR, the Market Abuse Regulation, the Money Laundering Regulations, SYSC and the SM&CR.
- Experience of transaction and trade reporting oversight, trade surveillance and STOR processes.
- Current or previous approval as SMF16 and/or SMF17 is strongly preferred. You must be able to pass the FCA's fitness and propriety assessment and show you have enough time for the role alongside other appointments.
- A recognised compliance or AML qualification, such as the ICA International Diploma or CISI qualifications, is desirable.
- Familiarity with fixed income or other OTC markets is a significant advantage.
- Self-sufficient and comfortable working remotely with a small team.
- A senior, high-impact role with direct access to the CEO and real influence over the firm's compliance framework.
- Fully remote, with no regular office attendance.
- Flexible part-time commitment of one to two days a week.
- A competitive day rate reflecting the experience required and the senior manager accountability involved.
- An established, well-regarded firm with a long operating history.
- A long-term fractional engagement suited to an independent practitioner building a portfolio of senior appointments.
